Terms of Use & Purchase

These Terms of Use & Purchase apply to the succEZion website, the succEZion Business Transferability Assessment and purchases of the succEZion Business Transferability System.

succEZion is operated by Direct Tech Pty Ltd (“Direct Tech”, “succEZion”, “we”, “us” or “our”).

By using the succEZion website, completing the Business Transferability Assessment or purchasing the Business Transferability System, you agree to these Terms.

1. About succEZion

succEZion is a self-directed business transferability methodology designed to help established businesses identify and progressively reduce unnecessary owner dependence.

The Business Transferability System may assist users to capture operating knowledge, document processes, preserve judgement and decision principles, clarify responsibilities and authority, identify dependencies and test whether another capable person can use what has been built.

succEZion is not a consulting engagement and does not provide a managed implementation service unless we expressly agree otherwise in writing.

2. Business Transferability Assessment

The succEZion Business Transferability Assessment is a general business diagnostic.

Assessment results may include:

  • an overall Business Transferability Score;
  • category scores;
  • observations about areas of apparent strength or dependency;
  • suggested priorities;
  • practical questions to explore; and
  • a Business Transferability Assessment Report.

Assessment results are based on the information provided by the person completing the assessment.

They do not determine the value, saleability or transaction readiness of a business and should not be treated as a valuation, due-diligence report, legal opinion or professional certification.

3. The Business Transferability System

The succEZion Business Transferability System is supplied as a self-directed methodology and supporting materials.

Depending on the version purchased, these may include materials such as:

  • the Master Builder Companion;
  • Product Read Me First;
  • Implementation Roadmap;
  • AI Setup & Safe Use Guide;
  • Progress & Resume Record;
  • methodology, guidance and supporting operating structures; and
  • business-specific records progressively created by the purchaser while using the System.

The System is designed to be used progressively. It is not intended to require every component or record to be created at once.

4. Price and payment

The current price of the succEZion Business Transferability System is displayed on the website before purchase.

At launch, the purchase price is:

A$995

unless another price, promotion or offer is clearly displayed at the time of purchase.

All prices displayed to Australian purchasers are inclusive of GST where GST applies, unless expressly stated otherwise.

Payment may be processed by Stripe or another disclosed payment provider.

The total purchase price will be displayed before payment is completed.

5. One-time purchase

Unless otherwise stated at the time of purchase, the succEZion Business Transferability System is supplied for a one-time purchase price.

There is no ongoing succEZion subscription fee for continued use of the purchased System.

The purchaser may separately incur costs charged by third-party services they choose to use, including AI providers, software providers, storage providers or other business tools.

6. Delivery

Purchased digital materials will be made available electronically using the delivery method stated at or after checkout.

The purchaser is responsible for:

  • providing a valid email address;
  • downloading or securely saving supplied files;
  • maintaining appropriate backups; and
  • retaining access to their own business-specific AAOS records.

If you complete a purchase but do not receive the purchased materials, contact us at hello@succezion.com and we will take reasonable steps to provide or restore delivery.

7. Licence to use the System

Purchase gives the purchasing business a limited, non-exclusive licence to use the succEZion Business Transferability System for its internal business purposes.

The licence may be exercised by authorised owners, employees, managers, contractors and advisers acting for the purchasing business, but may not be transferred or sublicensed to an unrelated business except with our written permission.

The purchaser may:

  • use the methodology within its own business;
  • create and maintain its own business-specific records using the System;
  • provide relevant materials internally to employees, managers, contractors or advisers where reasonably required for implementing or operating the System; and
  • retain and use its resulting business-specific AAOS records.

The purchaser must not, without our written permission:

  • resell or redistribute the succEZion methodology or purchased materials;
  • make the System available as a competing product, service, consultancy or training program;
  • commercially license, sublicense or reproduce the System for third parties;
  • upload or distribute the purchased materials publicly;
  • remove or obscure proprietary notices where applicable; or
  • represent the succEZion methodology as their own intellectual property.

8. Intellectual property

All intellectual property rights in the succEZion methodology, Master Builder Companion, frameworks, instructions, terminology, templates, guides, design, assessment methodology and other proprietary materials remain owned by Direct Tech Pty Ltd or its licensors.

The purchaser owns its own business information and the business-specific operating records created from that information, subject to any pre-existing third-party intellectual property rights.

Nothing in these Terms transfers ownership of the underlying succEZion methodology or proprietary materials.

9. Use of artificial intelligence

The succEZion Business Transferability System is designed to be capable of use with a suitable third-party AI service.

succEZion does not itself provide the AI service.

The purchaser is responsible for:

  • choosing an AI provider appropriate to its circumstances;
  • reviewing that provider’s privacy, security, data-use and retention settings;
  • deciding what business information is appropriate to provide to that service;
  • maintaining human review and approval of important outputs; and
  • complying with any contractual, confidentiality, privacy, regulatory or professional obligations affecting information entered into an AI service.

AI-generated wording should not be assumed to be factually correct merely because it has been generated.

Important business records should be reviewed and confirmed before being treated as authoritative.

10. Sensitive information and credentials

The System is not intended to operate as a password vault or credential manager.

Users should not place passwords, PINs, multi-factor authentication codes, recovery keys, private encryption keys, API secrets or similar credentials into ordinary succEZion records or AI conversations.

Appropriate secure credential-management tools should be used for such information.

11. Purchaser responsibilities

The purchaser remains responsible for decisions made within its business.

The purchaser is responsible for:

  • checking the accuracy of business information used in the System;
  • confirming important outputs before adopting them;
  • ensuring appropriate authority exists for changes or decisions;
  • obtaining professional advice where required;
  • ensuring compliance with applicable laws, regulations, contracts and industry obligations; and
  • deciding which recommendations or system outputs are appropriate for its circumstances.

succEZion does not assume management responsibility for the purchaser’s business.

12. Professional advice

succEZion provides a general business transferability methodology and diagnostic framework.

It does not constitute legal, tax, accounting, financial, employment, safety, privacy, cyber-security, regulatory or other professional advice.

Where a matter requires professional advice, the purchaser should obtain advice from an appropriately qualified adviser.

The System may help organise or document confirmed professional information, but it does not replace professional review where that review is required.

13. No guarantee of particular outcomes

Business transferability depends on many factors outside our control.

We do not guarantee that use of succEZion will:

  • increase the value of a business;
  • make a business saleable;
  • result in a successful sale or succession;
  • eliminate all owner dependence;
  • eliminate operational risk;
  • produce a particular financial result; or
  • make a purchaser legally, commercially or transactionally “ready”.

The purpose of the System is to provide a structured methodology for improving transferability and reducing unnecessary owner dependence.

14. Refunds and Australian Consumer Law

We do not provide refunds merely because a purchaser changes their mind after the digital product has been supplied, except where we expressly agree otherwise.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

Where the Australian Consumer Law applies, purchasers may be entitled to a remedy if the Business Transferability System does not comply with an applicable consumer guarantee.

15. Website availability and third-party services

We aim to keep the succEZion website and associated services reasonably available, but we do not guarantee uninterrupted access.

We may rely on third-party providers including hosting, assessment, email, payment and AI services.

We are not responsible for outages, changes, restrictions or failures of third-party services to the extent they are outside our reasonable control.

Where possible, the succEZion methodology is designed so that purchaser-controlled business files remain the primary record of the work undertaken.

16. Updates to the System

We may update, improve or revise succEZion materials over time.

Unless otherwise stated, purchase does not guarantee access to every future version, major new edition, new product or separately priced extension.

Minor corrections or updates may be provided at our discretion.

17. Acceptable use

You must not use the website, assessment or Business Transferability System:

  • unlawfully;
  • to infringe another person’s rights;
  • to upload malicious code;
  • to gain unauthorised access to systems or information;
  • to misrepresent affiliation with succEZion or Direct Tech;
  • to reproduce or commercialise the System contrary to these Terms; or
  • in a way that materially interferes with the operation or security of the service.

18. Limitation of liability

To the maximum extent permitted by law, Direct Tech is not responsible for loss to the extent that the loss results from:

  • inaccurate, incomplete or misleading information supplied by the purchaser;
  • business decisions made without appropriate review;
  • reliance on AI-generated material that has not been appropriately reviewed or confirmed;
  • use of the System contrary to these Terms or the supplied guidance;
  • a failure by the purchaser to obtain professional advice where professional advice is required; or
  • acts, omissions, outages or changes of third-party services outside Direct Tech’s reasonable control.

Nothing in these Terms excludes, restricts or modifies any liability, guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

19. Unfair contract terms

These Terms are intended to operate fairly and transparently and are subject to any protections against unfair contract terms that apply under Australian law.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue to operate to the extent permitted by law.

20. Changes to these Terms

We may update these Terms where reasonably necessary, including to reflect changes to succEZion, technology, legal requirements or business operations.

The version applying to a purchase is the version presented or available at the time that purchase is made, subject to any rights that cannot lawfully be excluded.

The current website version will display its effective date.

21. Governing law

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts and tribunals of Victoria and any courts competent to hear appeals from them, subject to any rights under applicable law that provide otherwise.
